TERMS & CONDITIONS FOR SHRM HR EXCELLENCE AWARDS:
These Terms and Conditions form an integral part of the Application for nomination filed by willing organizations for SHRM HR Excellence Awards, which are given to successful organizations every year in various categories during the SHRM India Annual Conference. It is mandatory for every participating organization to accept these Terms and conditions and these terms and conditions are legally binding on each participating organization.
1. That the awards shall be given at the absolute & sole discretion of SHRM East Pvt. Ltd. (hereinafter SHRME) on the basis of the internal process of evaluation of the eligibility of the organizations and every organization is bound to honour the decision of SHRME and will have no legal right to challenge the same on any grounds whatsoever in any court of law.
2. That a non-exclusive & non-transferable license shall be granted to the winning organization to use the SHRME Logo and ‘Winner, SHRM HR Excellence Awards’ logo (hereinafter ‘The Logos’) for one year only from the date of its announcement. Awardee acknowledges the exclusive right, title, and interest & ownership in and to the trademark rights in The Logos by SHRME and agrees that it will do nothing inconsistent with such ownership and that all use of The Logos by Awardee shall inure to the benefit of SHRME. It is agreed that SHRME retains all rights in the Logos and that any and all goodwill associated with the Logos vests in SHRME.
3. Awardee agrees that it shall use the SHRME Logo and ‘Winner, SHRM HR Excellence Awards 2025’ Logo in strict conformity with the standards as provided in brand guidelines for the SHRM HR Excellence Awards. Awardee further agrees that it shall not knowingly or intentionally alter The Logos or manipulate any image(s) thereof, either by blurring, distortion or other means of reproduction or display. Awardee further agrees that it will not take any action that would tend to diminish the goodwill and market value of The Logos or bring The Logos or SHRME into public disrepute. It shall not use any name, logo or icon likely to cause confusion with the SHRME Logo and shall not make any representation to the effect that the SHRME Logo is owned by Awardee. Awardee further agrees that it shall not use, register or try to register any a) trademark, domain name or any other words or phrases, or b) name of a company or organisation or c) the Logos, which are or may be considered as similar to the trademarks, the Logos or the SHRME name, or attempt to do anything of the aforesaid.
4. That license granted by SHRME to the winning organization to use The Logos is non-sublicensable. Awardee has no legal right or authority to grant to any other person, firm or corporation, any right to use The Logos in any way or by any means or manner.
5. That upon request, Awardee shall provide SHRME, without charge, samples of materials which feature The Logos or SHRME name. SHRME shall have the right of approval over such items by giving written notice to Awardee, within thirty (30) days of receipt of the samples, of such changes or corrections as SHRME finds necessary. Awardee shall immediately make and incorporate said changes or corrections. Also the Awardee acknowledges and agrees that Awardee shall immediately comply with, any changes SHRME may make in the guidelines for use of The Logos.
6. That in case the Awardee uses The Logos in or in connection with the Website, it will furnish SHRME with a copy of that portion of the Website depicting The Logos (“Website Excerpts”). SHRME and its affiliated entities shall have the right to use, copy, display and distribute the Website Excerpts internally to their employees.
7. Each year, SHRME reserves its right to withdraw or add in new categories of Awards at any time of the year at its sole discretion. SHRME can award an organization in multiple categories at its sole discretion.
8. The SHRM HR Excellence Awards are valid for one year. At the end of one year from the receipt of the awards, the award expires and organizations will have to re-apply and win in the subsequent year to be able to use the logo- ‘Winner, SHRM HR Excellence Awards’. The Awardee explicitly undertakes not to use The Logo’s after one year from the date it has been awarded.
9. SHRME reserves the right to change the present Terms & Conditions periodically on its own discretion as and when the need arises and further have an unfettered right to delist a winning organization at its sole discretion.
10. That SHRME may, in its sole discretion, terminate the license granted to the Awardee or modify the Terms & Conditions to use The Logos. Upon termination of this Agreement, Awardee shall immediately cease any and all use of The Logos or any trademarks confusingly similar to The Logos.
11. All applicants shall remain liable to indemnify, defend and hold harmless SHRME, its affiliates, and their respective officers, directors, members, employees and agents from and against any claims, actions, suits or proceedings, as well as any and all claims and resulting losses, costs, liabilities, and expenses (including reasonable attorney’s fees), arising as a result of or in connection with (a) any misrepresentation or breach of Applicant’s representations and warranties set forth in their application; and (b) any non-compliance with these Terms & Conditions.
